Service Description
The service aims to close Free Zone Companies and branches (local and foreign) and remove them from the Company Register.
Service Steps
Step 1: Submit a request along with all the required documents as per checklist
Step 2: RAKEZ review and approve the request
Step 3: Pay Deregistration Fee
Step 4: Commence the P.O. Box Cancellation
Step 5: Publish the deregistration announcement in two local daily newspaper
Step 6: Cancellation of Partner/Investor/Manager’s Visa
Step 7: Immigration File Closure
Step 8: Final Verification
Step 9 E-Channel Registration Cancellation (If applicable)
Step 10: Chamber of Commerce Membership (If applicable)
Step 11: Receive the Certificate of Deregistration
Service Conditions
Companies with outstanding mortgage/security interest on their facilities must obtain NOC/Approval from their concerned bankers. All outstanding fees owed to RAKEZ must be cleared.Penalty fee of AED 50 per day will be imposed in case of not deregistering within the validity of the company.Delay or failure to close immigration file after the expiry date will result in incurring a fine of AED1200 for the first month from licence expiry plus AED 100 penalty for the succeeding months. RAKEZ will not be responsible for any penalties caused by this.Delay or failure to cancel the COC Membership after the expiry date will result in incurring fines. RAKEZ will not be responsible for any penalties caused by this. Visa cancellation application request.
for investor/partner/manager should be submitted to the Authority within 10 days from the receipt of deregistration invoice. In the event of non-compliance and delay of submission, appropriate penalties will be imposed. Payments must be settled within ten (10) days from the issuance of the initial and unrevised deregistration invoice. In the event of non-compliance and delay of payment, additional penalties will be imposed which will be covered by a revised quotation. The lapse of fourteen (14) days from publication of deregistration, one in Arabic and one in English, is required before the issuance of Deregistration/Cancellation Certificate.The Power of Attorney (POA) must be submitted in original format for verification.All documents of foreign companies shall be notarised and legalised up to the level of the UAE Embassy of that country. RAKEZ reserves the right to request for any additional documents and/or attestation, as and when necessary.All documents must be in English and/or Arabic. Documents in any other language must be accompanied by a certified/authenticated English translation."

"1. Required Documents Common For Deregistration: a. Application Form for De-registration/Cancellation of License* *Application form is not required if SR is initiated in Portal 360. b. Owners’ declaration or Shareholders Resolution calling for deregistration of the RAKEZ entity. *Signed before RAKEZ personnel or notarised by a notary public in the UAE, or notarised and legalised up to the level of the UAE Embassy and submitted in original format. c. In case of a Branch Company, submit the Parent Company’s Resolution for Deregistration/Cancellation of the Branch** **Corporate Resolution must be printed on the parent company letterhead with the company seal along with the signatories’ Proof of authorisation to take such action on behalf of the shareholders of the parent company and to be signed before RAKEZ personnel or notarised by a notary public in the UAE, or notarised and legalised up to the level of the UAE Embassy and submitted in original format. d. Application forms for the Cancellation of Chamber of Commerce (COC) Membership Certificate ***. ***Applicable to entities holding Chamber of Commerce membership.
2. Letter confirming receipt of all the dues from the company signed by the appointed Manager on the license or Termination Letter signed by the Owner or Shareholder(s) or Authorized Representative confirming payment of all dues to the Manager in the license and releasing him from liability for any future claims or disputes.* *This applies to a manager who is not a shareholder.
3. Clearance/NOC from other Regulatory Authority is required for entities with regulated activities, applicable.
4. Visa Cancellation form for Investor/Manager/Partner.
5. Surrender all original documents issued by RAKEZ (Memorandum of Association and Lease Agreement and its amendments)
6. Proof of P.O. Box Cancellation, if applicable
7. Proof of Cancellation of Immigration File 8. Proof of Publication in the local newspapers
9. Proof of COC Cancellation"
